Thanks for your interest in becoming an Adventure Imports dealer! We’re the US importers and distributors of MAXTRAX, MSA 4X4, and Indeflate products. Please pay attention to this application, as it will explain the finer-details of our dealer program and answer many frequently asked questions. Dealer Agreement

To qualify and remain an authorized Adventure Imports, LLC dealer, your business must adhere to this Authorized Dealer and Reseller Agreement at all times.

Section One *

I Agree

1. Maintain Current Business Information and Disclose All Locations That Sell Adventure Imports, LLC Products

The dealer shall provide accurate and up-to-date company information and disclose all retail locations that carry products we sell, including but not limited to ‘brick and mortar’ e-commerce websites that Adventure Imports (AI) products will be sold through. Dealers are strongly recommended but not required to alert Adventure Imports in advance of any trade shows, events, or gatherings where they will be selling product in order to assist them with ensuring they have ample stock.
2. Sell on Approved Retail Website(s) Only

The dealer must only take orders via publicly accessible e-commerce web pages hosted on approved websites owned and operated by your company. Selling on 3rd party sites (eBay, Amazon, Alibaba, etc.), drop-ship accounts (Buy.com, Newegg.com, Overstock.com, etc.), is strictly prohibited.
3. Report Sell-Thru and Stock Levels

The dealer will provide sell-thru information and current stock levels upon request. The dealer also agrees to tell MAXTRAX in advance that larger-than-normal stock orders will be required.

4. MAXTRAX’s Trademark & Brand Policy

MAXTRAX is a trademark of Gunshot Creek Pty Ltd ABN 25 912 211 564. The dealer must agree to comply with MAXTRAX’s brand standards while represent yourself as a MAXTRAX Authorized Dealer Reseller in all online advertising & sales collateral. MAXTRAX logos must be up-to-date and portrayed in a way that is consistent with MAXTRAX’s respectable image. MAXTRAX supports Tread Lightly and suggests that all dealers read its advertising guidelines available in full on treadlightly.org. Setting up businesses, registering domain names, or social media usernames that contain any of MAXTRAX’s trademarks is strictly prohibited.
5. Minimum Advertised Price Policy

Ensure you understand and abide by our Minimum Advertised Pricing And Third Party Online Sales Agreement Policy.
6. Sell to Retail Consumers Only

You may not sell in bulk to business-to-business accounts, wholesalers, or freight forwarders/drop- shippers for other retailers. You may only sell to your end consumers only. You may not export or sell products outside of the United States.

7. Only Purchase Products Directly From an Authorized Distributor

Do not buy products from other retailers, or from other sources not explicitly endorsed by Adventure Imports LLC is the only authorized distributor for MAXTRAX, MSA 4X4, Indeflate, and other brands in the United States.
8. Only Sell Products in Original Packaging With Included Accessories

The dealer agrees not to alter original packaging in any way prior to reselling AI products. The dealer also agrees to sell AI Products with all included accessories. (E.G do not charge extra for MAXTRAX leashes)
9. Warranty Claims Must Be Approved By Adventure Imports

All warranty claims must first be approved by Adventure Imports, LLC. Adventure Imports, LLC will not be liable or financially responsible for warranty claims approved by the dealer or reseller without prior approval.

Adventure Imports, LLC facilitates the warranty to take place through our import partners. Ultimate responsibility for the warranty lies with the original manufacturer.

Section Four *

I Agree

10. Obey the Law, Abide by Policy Rules & Serve Customer Needs

Must comply with all applicable laws, rules, regulations & policies related to advertising, sale, & marketing of MAXTRAX products. Must provide a level of sales support & customer support for our customers that, at a minimum, demonstrate industry best practices.
Failure to comply with all of the terms in MAXTRAX Authorized Dealer and Reseller Agreement will result in suspension or termination of your account.
11. Length of the Agreement and Termination

This agreement will end on December 31 of each year, and renew automatically on January 1st the following year unless either party has provided 30 days of written notice that they do not wish to continue to do business with each other.
12. Order Payment, Credit, Terms

Adventure Imports, LLC will offer 30 day terms to authorized dealers who have been a dealer for a minimum of 3 months and have placed 3 orders. 30 day terms must be requested or payment will default to due on receipt. Payment will be due for net-30 orders from the 30th calendar day including weekends and holidays from when the order was shipped as confirmed by tracking number.
Dealers who do not pay on time will begin to accrue interest at the following schedule

1-3 days late: 1% fee (of total amount due)
4-7 days late: 3% fee (of total amount due)
8-14 days late: 5% fee (of total amount due)
13. Shipping and Delivery

Adventure Imports LLC, operates a warehouse in Northern Arizona. Orders ship Monday to Friday, a maximum of 48 hours after the order has been placed.
Our standing policy is to ship in the cheapest method possible, usually meaning that orders of 10 or more sets of MAXTRAX will ship by pallet. Rush orders may be possible on a case-by-case basis. If you would like to provide your own shipping account information, please provide this at the time you submit your order. Pickup is available.
14. Purchase Orders

Purchase orders should be filed in a neat and orderly manner using correct MAXTRAX SKUs and quantities to avoid confusion (Safety Orange is MTX02SO, for example). They are only accepted at the following address: purchaseorder@adventure-imports.com

The U.S. Distributor for MAXTRAX is Adventure Imports, LLC and the following should be listed on the Purchase Order and on all Checks or Payments:
